Terms of Service

Please read these Terms of Service carefully before using the Tizzle protocol. By connecting your wallet or interacting with the platform, you agree to be bound by these terms.

01

Acceptance of Terms

By accessing or using the Tizzle protocol, website, smart contracts, or any related services (collectively, the "Platform"), you ("User") agree to be legally bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must immediately stop using the Platform.

These Terms apply to all users of the Platform, including event organizers, attendees, and any other party who interacts with the Tizzle smart contracts deployed on the Solana blockchain.

Important Notice

Tizzle is currently deployed on Solana Devnet and is under active development. These Terms govern your use of the Platform in its current state and any future versions.

02

Protocol Description

Tizzle is a decentralized event ticketing protocol built on the Solana blockchain. The Platform enables:

All core protocol logic is executed by open smart contracts (programs) on the Solana blockchain. Token custody is handled exclusively through Program Derived Addresses (PDAs) — Tizzle does not hold or control user funds directly.

03

Eligibility

To use the Platform, you must meet all of the following requirements:

By using the Platform, you represent and warrant that you satisfy all of the above eligibility requirements. Tizzle reserves the right to restrict access to the Platform for any user who does not meet these requirements.

04

Wallet & Account Responsibilities

Access to Tizzle is non-custodial and wallet-based. You are solely responsible for:

Tizzle authenticates users via cryptographic wallet signatures. There are no usernames or passwords. If your wallet is compromised, Tizzle has no ability to reverse transactions or restore lost funds.

05

Staking Mechanism & Financial Risks

Tizzle uses a stake-based registration model. When you register for an event, a specified amount of tokens is locked in a smart contract escrow (PDA) until the event's unlock time. You acknowledge and accept the following:

Stake & Refund Conditions

Financial Risk Disclosures

Token Volatility

The value of staked tokens may fluctuate significantly during the lock-up period. Tizzle is not responsible for any loss in token value.

Smart Contract Risk

Despite rigorous testing, smart contracts may contain undiscovered bugs or vulnerabilities. Use the Platform at your own risk.

Network Risk

Solana network congestion, outages, or forks may delay transactions including refund claims. Tizzle is not liable for network-level failures.

Regulatory Risk

Crypto regulations vary by jurisdiction and may change. You are responsible for compliance with laws in your local jurisdiction.

Not Financial Advice

Nothing on the Tizzle Platform constitutes financial, investment, legal, or tax advice. You should consult qualified professionals before making any financial decisions related to crypto assets.

06

Event Organizer Terms

If you create events on the Tizzle Platform as an organizer, you additionally agree to the following:

Platform Fees

Event creation requires payment of a platform fee calculated as: Total Fee = Capacity × Fee Per Slot This fee is paid at the time of the create_event instruction and is non-refundable once the event is created on-chain.

Organizer Responsibilities

Immutability of On-Chain Parameters

Once an event is created on-chain, core parameters such as stake amount, capacity, and unlock time are immutable and governed by the smart contract. Tizzle cannot modify or override on-chain event state on your behalf. Ensure all parameters are correct before submitting the creation transaction.

07

Attendee Terms

When registering for and attending events on the Tizzle Platform, you agree to the following:

08

Prohibited Use

You agree not to use the Platform for any of the following purposes:

Tizzle reserves the right to report any suspected illegal activity to relevant law enforcement authorities and to restrict access to the Platform for any user found in violation of these prohibitions.

09

Intellectual Property

All content on the Tizzle website, including but not limited to text, graphics, logos, and design, is the property of Tizzle or its licensors and is protected by applicable intellectual property laws.

The Tizzle smart contract code deployed on Solana is open and verifiable on-chain. The underlying source code repository is governed by its respective open-source license terms.

You may not reproduce, distribute, modify, or create derivative works from the Tizzle brand assets, website, or proprietary software without prior written consent from Tizzle.

10

Disclaimers

As-Is Basis

The Platform is provided on an "as-is" and "as-available" basis without warranties of any kind, either express or implied. Tizzle does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

Decentralized Protocol

Tizzle operates as a decentralized protocol on a public blockchain. On-chain transactions are irreversible by design. Tizzle does not have the technical ability to reverse, cancel, or modify transactions that have been confirmed on the Solana blockchain.

Third-Party Services

The Platform may interact with third-party services including wallet providers, RPC nodes, and blockchain explorers. Tizzle is not responsible for the availability, accuracy, or security of any third-party services you may use in connection with the Platform.

11

Limitation of Liability

To the maximum extent permitted by applicable law, Tizzle and its affiliates, officers, employees, and agents shall not be liable for:

In jurisdictions that do not allow the exclusion of certain warranties or limitation of liability, our liability is limited to the maximum extent permitted by law.

12

Privacy

Tizzle collects minimal off-chain data. Because the Platform is built on a public blockchain, all on-chain interactions — including event registrations, stake transactions, and attendance verifications — are publicly visible on the Solana blockchain and cannot be deleted.

Off-chain data (such as event metadata stored in our API) is handled in accordance with our Privacy Policy. By using the Platform, you consent to the collection and use of data as described therein.

Wallet addresses are pseudonymous identifiers on the blockchain and are not inherently linked to your personal identity. However, Tizzle cannot guarantee the anonymity of on-chain activity.

13

Changes to Terms

Tizzle reserves the right to modify these Terms at any time. When we make changes, we will update the "Effective" date at the top of this page and, where appropriate, notify users through the Platform or other communication channels.

Your continued use of the Platform after any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Platform.

14

Governing Law & Disputes

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of the Platform shall first be attempted to be resolved through good-faith negotiation.

Given the decentralized nature of the Protocol, many interactions are governed entirely by on-chain smart contract logic rather than by Tizzle as a centralized party. The smart contract code is the authoritative source of truth for all staking, attendance, and refund outcomes.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall remain in full force and effect.
